Equity incentive plans can be a valuable tool for businesses to motivate, retain and reward employees. A well structured plan can help accelerate the success of a growing business while a poorly structured plan can make it more difficult for a company to raise capital or complicate the sale of a business. These plans come in different shapes and sizes, so it is important to understand the goals of the plan to structure it properly. Please join us for an insightful discussion on some of the different types of plans and the legal and tax issues associated with them. Topics discussed will include the different types of equity grants, how to properly set up the plans, how outside shareholders can be affected, corporate governance, taxation of the different types of equity grants, and the pros/cons of 83(b) elections.

Chad Wouters, CPA is a tax partner at Earney & Company, L.L.P. and has been with the firm since December 2006. Henry Kopf is a business attorney who concentrates his practice on corporate counsel services, business law, due diligence reviews, securities law, and international business transactions. Henry was a successful entrepreneur before embarking on his legal career. He co-founded businesses focused on the development and commercialization of technology used for the filtration, purification and separation of liquids for biotechnology and pharmaceutical applications. Henry’s combined experience as both a business attorney and entrepreneur allow him to provide a unique and well-rounded perspective to clients.
